Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement ("Terms") constitute a legally binding agreement between you ("you" or "User") and WatchDock ("Company," "we," "us," or "our") concerning your access to and use of the WatchDock mobile application and website (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

1. Acceptance of Terms

By creating an account, downloading, installing, or using WatchDock, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your legal guardian has reviewed and agreed to these Terms.

WatchDock offers subscription-based access to premium features. You can choose between a monthly or a yearly billing cycle. By subscribing, you agree to pay the subscription fees as displayed in the app at the time of purchase.

Cost to Customer: $39.99 per year (auto-extends after trial)

You may cancel your subscription at any time through your App Store account settings. Cancellation will take effect at the end of the current billing cycle.

You may cancel your subscription at any time. Upon cancellation, you will retain access to premium features until the end of your current billing period. No refund will be provided for the remaining days in your current billing period.

5.5 Free Trials

We may offer free trial periods for new subscribers. If you do not cancel before the trial period ends, you will be charged the subscription fee. Free trials are limited to one per user and may not be combined with other offers.

5.6 Refund Policy

All purchases are processed through the Apple App Store or Google Play Store. Refund requests are subject to the refund policies of these platforms. To request a refund, please contact Apple or Google directly. We do not have the ability to issue refunds for purchases made through these app stores.

6. User Content

6.1 Definition

"User Content" means any content you create, upload, post, or share through the Service, including packing lists, gear reviews, photos, profile information, comments, and motorcycle/riding information.

6.2 Ownership and License

You retain ownership of your User Content. You grant WatchDock a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, and display your User Content in connection with the Service.

When you choose to share packing lists or make your profile public, you grant other users the right to view and reference that content for personal use. Other users may not commercially exploit or claim ownership of your shared content.

6.3 Content Standards

You agree NOT to post User Content that is defamatory, obscene, offensive, promotes discrimination or harm, infringes third-party rights, contains illegal content, or contains spam or impersonation.

6.4 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, remove, or edit User Content. We do not endorse any User Content and are not responsible for its accuracy, reliability, or legality.

7. Intellectual Property Rights

The Service and its entire contents are owned by WatchDock or its licensors and are protected by U.S. and international intellectual property laws. The WatchDock name, logo, and related marks are trademarks of WatchDock. You may not use such marks without our prior written permission.

10.1 Service Availability

We strive to provide uninterrupted access to the Service but do not guarantee that the Service will be available at all times, error-free, or free from harmful components. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

10.2 "AS IS" and "AS AVAILABLE"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, ACCURACY, OR QUALITY.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WATCHDOCK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You acknowledge that using the Service requires access to third-party streaming platforms. You are solely responsible for your own data usage and streaming costs. Content recommendations are suggestions only and should not replace your own judgment.

11. Indemnification

You agree to defend, indemnify, and hold harmless WatchDock, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use or misuse of the Service, your User Content, or your violation of any third-party rights or applicable laws.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at Kessler@watchdock.net and attempt to resolve the dispute informally. If a dispute is not resolved within 30 days, you or we may initiate formal dispute resolution.

12.2 Mediation

If informal resolution fails, you and WatchDock agree to participate in good-faith mediation before pursuing arbitration or litigation.

12.3 Binding Arbitration

If mediation fails within 60 days, any remaining dispute shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in North Carolina in English. The arbitrator's decision will be final and binding.

Exceptions: Claims for injunctive or equitable relief, intellectual property disputes, and small claims court matters are not subject to arbitration.

12.4 Class Action Waiver

YOU AND WATCHDOCK AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

12.5 Governing Law & Venue

These Terms shall be governed by the laws of the State of North Carolina and the United States. Any legal action not subject to arbitration shall be brought exclusively in state or federal courts located in North Carolina.

13. International Users

The Service is controlled and operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local laws and regulations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms, updating the "Last Updated" date, sending an email notification, or displaying an in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WatchDock regarding the Service.

16. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
